1. Definitions

1. “Client,” “User,” “You”: The individual, company, or entity accessing or using the Services.

2. “Deliverables”: The resized creatives, files, or outputs produced by Resize It as part of the Services.

3. “Working Files”: The original assets, PSD, AI, InDesign files, or any other creative material provided by you.
    

2. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to use our Services. By using the Site, you represent and warrant that you have the legal capacity to enter into these Terms.
 

3.Account Registration

1. Account Creation: You may be required to create an account by providing accurate, current, and complete information, including your name, email address, and other details required for billing/invoicing.

2. Security: You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized access to your account.

3. Accuracy of Information: You agree to provide accurate information and to update it promptly if it changes.
    

4. Scope of Services

1. Resizing Services: We specialize in resizing digital billboard creatives and other formats (“Deliverables”). We will use experienced designers to ensure accuracy and quality.

2. Proofing & Revisions: Depending on the service package, you may be entitled to a certain number of revisions. Additional revisions may incur additional fees.

3. Turnaround Times: We strive to meet advertised turnaround times but cannot guarantee deadlines if project requirements change or if we experience unforeseen delays.
    

5. Pricing & Payment

1. Fees: You agree to pay the fees indicated on our Site or as otherwise agreed in writing for the Services you request.

2. Pricing Tiers: We offer tiered pricing based on the number of resizes. Rush fees may apply for expedited turnaround times.

3. Payment Terms:
   Deposit for New Clients: At our discretion, we may require a partial deposit before commencing work.
   Invoices: We may invoice you upon completion of a job or at key milestones (deposit/final). Payment is due as indicated on the invoice (e.g., net 7 or net 14 days).

4. Late Payments: Late payments may incur a late fee or interest as permitted by law. We reserve the right to suspend or terminate Services for overdue accounts

5. Taxes: You are responsible for paying all applicable taxes, if any, related to your use of our Services.
    

 

6. Intellectual Property

1. Your Materials: You retain all rights to your original working files and creative assets. By submitting these materials to Resize It, you grant us a non-exclusive, royalty-free license to use them for the purpose of performing our Services.

2. Deliverables: Upon final payment, we transfer to you the rights to the resized Deliverables. However, we reserve the right to showcase completed work for promotional purposes, unless you request in writing that we refrain from such use.

3. Third-Party Content: If your materials include third-party content (e.g., stock images, fonts, or logos), you represent that you have obtained the necessary rights to use them.
    

7. Confidentiality
We understand that your files and projects may contain proprietary or confidential information. We agree to use reasonable measures to keep such information confidential and to only use it for providing the Services.
 

8. Limitation of Liability

1. No Warranties: We provide the Services “as is” and “as available,” without warranty of any kind, whether express or implied, to the maximum extent permitted by law.

2. Indirect Damages: In no event shall Resize It be liable for any indirect, consequential, incidental, special, or punitive damages (including loss of business, revenue, or profits) arising out of your use or inability to use the Services.

3. Maximum Liability: Our maximum aggregate liability for any claim relating to the Services shall not exceed the total fees paid by you for the specific service in question.
    

9. Termination

1. By Us: We may suspend or terminate your account or any part of the Services if you breach these Terms or if we believe it is necessary to protect our interests or the interests of other users.

2. By You: You may discontinue use of the Services at any time. However, you remain responsible for any outstanding payments.

3. Effect of Termination: Termination does not relieve either party of any obligations that arose prior to termination.
    

10. Changes to the Terms
We may update or modify these Terms at any time by posting the revised version on our Site. The revised Terms will be effective as of the “Last Updated” date at the top. Your continued use of the Services indicates your acceptance of the revised Terms.
 

 11. Governing Law & Dispute Resolution

1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of Australia (or the state/province of your principal business location), without regard to conflict of laws principles.

2. Dispute Resolution: Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in [Your State/Region], unless otherwise required by applicable law.
